Can employer withhold paycheck and accrued vacation pay with a termination for cause?
Worked for survey company and the letter stated; primary reasons 1- theft & diversion of survey orders placed over co. website to (individual person) , 2- usage of co time and systems to process, draft, invoice. Did, but the time it took was my lunch time.

If I understand the facts, as you've outlined them, you spent your lunch hour doing business for yourself, on your company's equipment, with survey orders you diverted from your company's website.
Now, if that's accurate, I would suggest that you walk very quietly away, because you could be sent to jail for what you did. It's called stealing, both the customers and the company's resources. I would not be surprised if they sue you for damages, once they round up all the information, and you may also run into licensing problems, even if there's no criminal prosecution. I really think you need to talk to a lawyer, before doing or saying anything more about this.
